What a Wyoming DAO LLC is — and why most are out of compliance.

In 2021 Wyoming became the first U.S. state to recognize a Decentralized Autonomous Organization as a limited liability company. The form is powerful — and widely misused. Almost every DAO LLC on the register fails to meet the statute’s management requirements, never implements genuine algorithmic governance, and has no lawful way to sign the deeds, contracts, and banking instruments the entity needs to function. This page explains the form, the failures, and the infrastructure that fixes them.

Four things the statute actually requires.

A DAO LLC is not a metaphor. It is a defined entity with defined obligations. Strip away the marketing and the Wyoming statute asks for four concrete things.

A recognized legal form

A DAO LLC is a Wyoming limited liability company that elects to be a decentralized autonomous organization under the DAO Supplement, W.S. § 17-31. It carries the full liability shield and legal personhood of an ordinary LLC — it can own property, hold accounts, and be a party to contracts.

Managed by members and smart contracts

Under W.S. § 17-31-109, a DAO LLC is managed by its members, or by its members and any applicable smart contracts. The statute requires those smart contracts to be capable of being updated, modified, or upgraded — code that cannot be changed does not satisfy the management standard.

The operating agreement is the authority

The operating agreement — together with the governing smart contracts it incorporates — is the entity's statement of authority under W.S. § 17-31-115. A person dealing with the entity may rely on it to determine who is authorized to bind the company, without inquiring further.

A natural person must remain in control

W.S. § 17-31-114 dissolves a DAO LLC that is no longer controlled by at least one natural person. “Fully autonomous, no humans” is not a lawful Wyoming entity — the statute insists that an identifiable person retain the power to act for it.

On-chain governance decides. Off-chain, a person with authority still has to sign. A compliant DAO LLC has to do both — and prove it.

The Compliance Gap

Why almost every DAO LLC is out of compliance.

The form is sound; the practice is not. Three failures recur in nearly every DAO LLC on the Wyoming register — and each one is fatal to a counterparty who tries to rely on the entity.

    They do not conform to the statute

    Many are formed from a generic LLC template with “DAO” bolted on — missing the required notice in the name, no smart-contract identifier in the articles, and no evidence that a natural person controls the entity. On its face, the filing does not meet § 17-31. A defect at formation is a defect every counterparty inherits.

  2. 02

    Their “algorithmic management” is a fiction

    Marketing says the protocol governs; the records say otherwise. Votes happen in a chat, multisig keys sit with two founders, the “governing” contract is immutable or was never deployed. The statute requires updatable smart contracts that actually manage the entity — not a logo on a website. Where the on-chain governance is decorative, the management standard is unmet.

    They cannot lawfully sign anything

    A blockchain vote cannot, by itself, execute a deed, a purchase agreement, or a bank resolution — those instruments live off-chain and need a signature from a person with authority. Most DAO LLCs have no compliant mechanism to carry a governance decision across that gap. So either nobody can bind the entity, or a founder signs on personal discretion the operating agreement never granted — and that act is void as to the company.

SENTINEL runs inside a hardware enclave that evaluates the entity's own governance rules — quorum, scope, conditions — against the instrument presented. It does not interpret the rules; it enforces them. A decision either satisfies the operating agreement or it does not.

A verifiable attestation

When the rules are met, the enclave issues a cryptographic attestation: a sealed proof that this exact instrument was authorized by this entity's governance. The attestation — not a person's judgment — is the authority on which a signature may be placed.

On-chain governance, off-chain effect

The attestation carries the governance decision across the gap to the physical world — a recorded deed, a countersigned contract, a bank resolution — and anchors a tamper-evident record so any counterparty can verify it later. Governance computes; SENTINEL proves; the instrument binds.

Without an enforcement-and-attestation layer like SENTINEL, “the DAO approved it” is an assertion no counterparty can test. With it, the authority behind every signature is computed, sealed, and independently verifiable — which is exactly what a competent DAO LLC, and the people who deal with it, require.
